There are quite a few differences.

1. Aperture
The Nikon 10-24mm is varying aperture (f3.5 - f4.5) while the 12-24 is constant aperture (f4).

2. Built
The 10-24mm is Made in China while the 12-24mm is made in Japan.

Really depending on your needs.

If you need the extra 2mm wider, then 10-24mm is the way to go.

i got the 12-24mm when there was no 10-24. But if i am a first time buyer for a UWA, it would be the 10-24mm. that extra bit of wideness can be pretty dramatic, and the reviews regarding IQ has been positive.
